1. Acceptance of Terms & Definitions

These General Terms & Conditions (the "Terms") constitute a binding legal agreement between you (whether individually or representing a business entity, company, partnership, or LLP) and Bhuvanesh Groups (the "Company"), governing access to and usage of bhuvaneshgroups.com and related digital services (the "Portal").

Throughout these Terms, "Applicant" refers to any person or entity submitting partner or franchise inquiries; "Partner" refers to an authorized entity executing formal distribution agreements; and "Platforms" refers to our 33+ ready software suites and custom build capabilities.

2. Informational & Due Diligence Purpose Only

The Portal is operated solely as an informational, demonstration, and partner recruitment platform. You acknowledge and agree that:

• Submitting an inquiry, application form, or expression of interest does not constitute an automatic offer of employment, binding partnership, territory grant, or franchise award.
• A legally enforceable business relationship is created only upon the mutual physical or digital signing of a definitive Master Franchise Agreement or Business Growth Partner Agreement executed by an authorized signatory of Bhuvanesh Groups.
• All territory availability (cities, revenue districts, states) is subject to ongoing administrative review and verification of existing exclusive grants.

3. User Eligibility & Authenticity of Representations

By submitting any application or accessing gated agreement specimens on this Portal, you warrant and represent that:

• You are at least eighteen (18) years of age and possess full legal capacity under the Indian Contract Act, 1872 to enter into binding agreements.
• If you are applying on behalf of a registered company, LLP, or partnership firm, you possess actual authority to bind such entity.
• All personal details, telephone numbers, emails, business experience, and financial capacity declarations provided are true, accurate, current, and complete. Submitting fraudulent, forged, or third-party details without consent constitutes a violation of these Terms and applicable provisions of the Information Technology Act 2000.

4. Intellectual Property Rights & Source Code Protection

All intellectual property rights associated with the Portal, our software platforms, and brand assets are the exclusive property of Bhuvanesh Groups or its licensors:

• Brand Assets & Trademarks: The name "Bhuvanesh Groups", the motto "Make Your New Vision", brand logos, visual styling, presentation decks, and user interface designs are legally protected trademarks and copyrights.
• No Source Code Transfer: Nothing on this Portal, nor any franchise fee paid, shall be construed as granting the user, partner, or client any ownership of core source code, proprietary algorithms, database schemas, internal development tools, or backend engineering architecture.
• Restricted Use: You may not copy, reproduce, reverse engineer, decompile, scrape, frame, deep-link, or create derivative works based on any software, calculator, or content displayed on this Portal without express prior written consent.

5. Proposed Status of Commercial Packages & Figures

To maintain utmost transparency and compliance with Indian commercial standards:

• All franchise package investment tiers (e.g., City Franchise: ₹2,00,000; District Franchise: ₹4,00,000; State Franchise: ₹7,00,000) and revenue sharing percentages (e.g., 30% to 40%) displayed on this Portal represent PROPOSED / PENDING APPROVAL commercial frameworks.
• These figures are published for informational due diligence and are subject to formal confirmation in the signed Schedule 1 of the definitive franchise contract. Bhuvanesh Groups reserves the right to modify proposed commercial figures prior to contract execution.

6. Prohibited Activities on the Portal

Users of this Portal shall not engage in any of the following prohibited behaviors:

• Using automated scripts, bots, spiders, or scrapers to extract contact lists, product features, pricing, or agreement texts.
• Publishing, broadcasting, or circulating unverified, false, or guaranteed earnings claims attributing them to Bhuvanesh Groups on social media, blogs, or print media.
• Attempting to probe, scan, or test the vulnerability of the Portal’s hosting infrastructure, servers, or API endpoints.
• Submitting unsolicited commercial communications, spam inquiries, or competitor espionage requests.

7. Third-Party Integrations & Service Dependencies

Certain software platforms demonstrated on the Portal incorporate or interface with third-party application programming interfaces (APIs), including cloud server providers, SMS/WhatsApp gateways, Google Maps APIs, app store distribution channels (Google Play / Apple App Store), and payment gateways (e.g. Razorpay, Cashfree).

Bhuvanesh Groups makes no representation regarding uninterrupted third-party service uptime. Partners and clients acknowledge that third-party service terms, merchant account approvals, and recurring infrastructure costs are subject to external third-party policies.

8. Disclaimers of Warranties & Limitation of Liability

The Portal and all materials, calculators, and information contained herein are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, statutory, or implied.

To the maximum extent permitted by applicable Indian law:

• Bhuvanesh Groups disclaims all implied warranties of merchantability, fitness for a particular business purpose, and non-infringement.
• In no event shall Bhuvanesh Groups, its founders, directors, or engineers be liable for any indirect, punitive, special, incidental, or consequential damages, including loss of profits, loss of business opportunity, loss of goodwill, or business interruption arising out of Portal use.
• Our aggregate liability for any direct claim arising from Portal use shall not exceed ₹5,000 (Five Thousand Indian Rupees) or the actual amount paid by the user to Bhuvanesh Groups for accessing the Portal, whichever is lesser.

9. Indemnification

You agree to defend, indemnify, and hold harmless Bhuvanesh Groups, its officers, directors, employees, and agents against any claims, liabilities, direct losses, judgments, expenses, and reasonable legal fees arising out of your breach of these Terms, unauthorized representations made to third parties, or unlawful conduct on the Portal.

10. Governing Law, Dispute Resolution & Jurisdiction

These Terms and all matters arising out of or related to your use of this Portal shall be governed by, construed, and enforced in accordance with the substantive laws of the Republic of India.

Any dispute, controversy, or claim arising out of these Terms shall first be attempted to be resolved amicably through good-faith discussions within thirty (30) days. Failing amicable settlement, the dispute shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator mutually appointed by the Parties. The seat and legal venue of arbitration shall be Tamil Nadu, India, and the language shall be English.

Subject to the arbitration clause, the competent courts having territorial jurisdiction in Tamil Nadu, India shall have exclusive jurisdiction over all legal proceedings.
