Franchise Terms & Territorial Governance
Comprehensive governance framework for authorized City, District, State, and Global Franchise operators distributing Bhuvanesh Groups software solutions worldwide.
1. Nature & Objectives of the Franchise Model
Bhuvanesh Groups operates an innovative, decentralized technology franchise model designed to empower regional entrepreneurs to establish recognized software distribution enterprises. Under this model:
- The Franchisor (Bhuvanesh Groups) provides 33+ ready software platforms, central cloud engineering, 99.5% hosting SLAs, technical updates, and sales enablement resources.
- The Franchisee establishes an authorized local presence within an agreed geographical territory to develop client relationships, conduct demonstrations, and secure enterprise contracts.
2. Franchise Hierarchy & Territorial Scope
Franchise appointments are structured across three distinct operational tiers:
| Franchise Tier | Territorial Scope | Operational Mandate |
|---|---|---|
| City Franchise (₹2,00,000 Proposed) |
Designated Municipal Corporation, Municipality, or defined urban pin codes. | Direct sales to local retailers, schools, clinics, fleets, and businesses within the urban cluster. |
| District Franchise (₹4,00,000 Proposed) |
Official State Revenue District boundary encompassing all suburban and rural nodes. | District-wide commercial mandate, managing direct accounts and coordinating local referral partners. |
| State Franchise (₹7,00,000 Proposed) |
Statewide regional market mandate across designated commercial zones. | High-level strategic regional expansion, key account development, and sub-partner network support. |
3. Territory Exclusivity & Boundary Standards
Territorial exclusivity provides valuable commercial protection when granted:
- Written Agreement Requirement: Territory exclusivity applies only if expressly selected, approved, and signed in Schedule 1 of the Master Franchise Agreement. General registration on this portal does not confer exclusivity.
- Boundary Demarcation: Approved territories are defined by official government revenue notifications, municipal boundary maps, or explicit postal PIN code schedules.
- Exclusions from Exclusivity: Exclusivity does not prevent Bhuvanesh Groups from fulfilling national multi-state corporate accounts, central government tenders, or inbound online inquiries where the customer expressly mandates centralized contracting. In such cases, fair local referral splits may apply under Schedule 3.
- Performance Covenants: To maintain exclusive rights, the Franchisee must meet reasonable minimum commercial milestones established in Schedule 1. Failure to achieve milestones after reasonable cure periods may result in conversion to non-exclusive status.
4. Franchise Fees & Commercial Scope
The initial franchise fee paid by the Franchisee represents consideration for specific upfront deliverables:
- Included Rights: Initial onboarding curriculum, territory rights reservation, dedicated cloud demo instances for 33+ software platforms, marketing presentation kits, and partner portal credentials.
- Excluded Operational Costs: The franchise fee does not cover franchisee office rent, local staff salaries, local advertising campaigns, client travel, or personal tax liabilities.
- Non-Refundability: Once onboarding commences and cloud demo instances are provisioned, initial franchise fees are non-refundable except where expressly mandated by applicable law or agreed in written contract.
5. Brand Standards & Marketing Governance
Franchisees are authorized custodians of the Bhuvanesh Groups brand within their territory:
- Trading Style: The Franchisee must conduct business under the trade name "[Franchisee Entity Name] — Authorized Franchise Center of Bhuvanesh Groups".
- Signage & Office Branding: All physical signage, office facades, and reception backdrops must comply with Bhuvanesh Groups visual identity guidelines (Crimson Red `#E31E24`, dark slate accents, approved logo dimensions).
- Local Advertising Approval: Local print advertisements, hoarding billboards, or regional television ads must receive prior written creative approval from the Franchisor to prevent inaccurate product or earnings claims.
6. Delivery SLAs & Franchisor Obligations
Bhuvanesh Groups backs its franchise network with uncompromising technical commitments:
- Rapid Turnaround: Standard turnkey software platforms are deployed within 24 to 72 hours following verified client contract execution and advance clearance.
- Infrastructure Uptime SLA: 99.5% monthly server availability backed by automated cloud database backups and 24/7 DevOps monitoring.
- Senior Architect Demo Support: For high-ticket enterprise opportunities (e.g. custom ERP or fleet booking builds), a senior Bhuvanesh Groups solutions architect will co-lead the technical presentation via video conference.
7. Term, Renewal & Transfer of Franchise
Standard franchise terms ensure continuity and stability:
- Initial Term: Twelve (12) calendar months from the verified commencement date.
- Renewal Conditions: Eligible for annual renewal provided the Franchisee has adhered to operational standards, cleared undisputed accounts, and satisfied minimum activity requirements.
- Transfer & Succession: A franchise agreement cannot be assigned, transferred, or sub-licensed without prior written consent from Bhuvanesh Groups.
8. Termination & Client Protection Protocols
Upon contract expiration or termination:
- The Franchisee must immediately cease holding itself out as an authorized franchise center and remove all Bhuvanesh Groups signage, marks, and branding.
- Client Continuity Guarantee: To prevent business disruption to local end-customers, all active software hosting accounts, maintenance contracts, and database instances revert directly to Bhuvanesh Groups central management.
